Job Brief:

We are currently assisting our client, a global management consulting firm in their search for an Associate General Counsel in Gurgaon.

Responsibilities:

  • This Attorney will work with the firm’s Tax & Compensation team and other departments in assessing, establishing, implementing and reviewing structures for operating subsidiaries globally (which may include working on new entities in the U.S. or outside the U.S.) and assisting with the corporate aspects of tax, finance, and benefits matters.
  • Minimum 8-10 years’ experience with a top law firm or in-house
  • Experience setting up entities and drafting/reviewing governance documents, familiarity with New York and Delaware corporate law preferred
  • Top academic credentials, including J.D/LLB or equivalent with Company Secretarial qualification, and member in good standing of an applicable bar association

Detailed Responsibilities:

This position will involve working with the firm’s Deputy General Counsel responsible for corporate matters and with other members of the firm’s Corporate team. The role encompasses a diverse range of responsibilities, including:

  • Advising on corporate governance issues
  • Working with the firm’s Tax & Compensation team and other departments in assessing, establishing, implementing and reviewing structures for operating subsidiaries globally (which may include working on new entities in the U.S. or outside the U.S.) and assisting with the corporate aspects of tax, finance and benefits matters
  • Advising on reorganizations, restructurings, and recapitalizations
  • Work on proposed transactions and initiatives with corporate components
  • Help oversee the Corporate Secretary function and all its subsidiaries, advising on charter documents, corporate filings, minutes and resolutions, powers of attorney, and other corporate documentation in support of the firm’s global operations
  • Work with other department members on corporate aspects of projects as they arise
  • Advising on other corporate matters

Ideal candidate:

  • Minimum 8-10 years’ experience with a top law firm or in-house
