Legal Counsel

Functional Responsibilities:

  • Coordinate with business teams in review and negotiation of commercial contracts from legal perspective, including lease agreement, pre-sale/sale contracts, property management agreement, design and construction documents, bank loan contracts etc.
  • Identify and assess legal risks arising from commercial contracts and business operations
  • Assist in preparation, creation and updating standard house form template contracts
  • Work with senior counsel and external counsel on major transactions relating to acquisition or disposition of real estate projects, assist in coordination, supervisions and management of external counsels
  • Assist in monitoring and supervising approval and registration procedures and formalities required during major transactions
  • Advise business teams on observation and compliance of various legal requirements relating to property development, including design, construction, pre-sale/sale, lease and disposition of assets etc.
  • Work with the ECM team on RMB fund formation and fund raising, set up RMB fund structure and prepare fund documents
  • Work with the Portfolio Management team on the RMB fund filing and registration
  • Assist China General Counsel in monitoring key trends and changes in the regulatory and statutory environment and advising on corresponding legal actions
  • Work on other corporate matters that the company may require

Essential Requirements:

  • Qualified PRC lawyer
  • Strong academic record (LLB or its equivalent from a reputable PRC law school and LLM from a well-regarded university abroad preferred)
  • 4 years or more work experience with a reputable leading PRC law firm or major international law firm in M&A and real estate practice
  • Solid real estate industry knowledge and experience in handling foreign investment in real estate in China, RMB fund experience preferred but not mandatory
  • Good legal drafting skills
  • Fluency in English (both legal writing/drafting skills and oral)
  • Good communication and people skills (with an ability to supervise, train and manage junior lawyers)
  • Strong client service ethic
  • Good team player with strong initiative
