Senior Attorney - Associate General Counsel

Duties:

• Drafting, developing, reviewing and negotiating complex consulting agreements and other contracts for various types of clients, including with third parties with which the company does business

• Drafting and advising on complex performance-based fee arrangements for company clients

• Identifying best practices to address legal and professional issues impacting the firm’s business, including counseling consultants on the application of company’s internal risk policies

• Counseling consultants on a variety of other legal issues, including confidentiality, indemnity and compliance with the company's policies for a wide variety of the company's clients

Supporting new initiatives relating to client arrangements

• Drafting and reviewing contracts for equity arrangements

• Working with outside counsel to ensure regulatory compliance for capital initiatives

• Developing commercial training materials to share knowledge across the legal department

 

IDEAL CANDIDATE

¶ At least 5 years of experience drafting and negotiating engagement contracts/letters

including indemnity provisions; experience with outsourcing business contracts a

plus

¶ Experience drafting complex provisions relating to performance-based fee

arrangements and/or other complex commercial arrangements (e.g., equity

arrangements, M&A agreements involving earnout provisions)

¶ Team player who is highly collaborative and flexible

¶ Ability and willingness to take on new, unexpected and challenging assignments

¶ Strong academic record
