Our client is a well-known international asset management firm. They are now looking to recruit an experienced funds lawyer in Hong Kong, ideally someone with experience from in-house as well. The role supports the funds business in all legal matters and the incumbent will be the lead lawyer for the business in North Asia.

Responsibilities:

  • Advising, preparing and submitting applications to regulators in relation to the establishment and/or registration, and ongoing maintenance, of local and/or cross border funds in North Asia (in particular, Hong Kong, Macao, South Korea and PRC
  • Liaising with overseas offices and external parties where necessary to assist with product establishment, registrations and the maintenance thereof
  • Where applicable, preparing constitutive and offering documentation (i.e., trust deeds, prospectuses, information/offering memoranda, etc) and ancillary documents for mutual funds
  • Drafting, negotiating and preparing agreements with banks and intermediaries (including distribution agreements, terms of business and investment-linked insurance contracts) in relation to the offer of mutual funds
  • Providing legal advice and support to the sales, client servicing, marketing, PR and product functions responsible for funds distribution on such matters as: (i) the structuring, establishment, registration and maintenance of products; (ii) entering into new markets; (iii) marketing initiatives and materials; and (iv) necessary ancillary documentation
  • Handling and/or advising on all corporate matters, including (but not limited to) legal vehicle governance and company secretarial matters, the licensing/registration of entities and/or individuals, products, insurance and intellectual property rights in the region
  • Providing legal advice and support to fellow corporate shared services functions, including Compliance, Finance, HR, IT and Operations, including drafting, negotiating, and reviewing third party service contracts, vendor agreements, confidentiality agreements and intra-group service level agreements

Requirements:

  • Qualified lawyer in a common law jurisdiction with at least 5 years’ PQE
  • General asset management and SFC fund authorization experience is required
  • Solid understanding of Hong Kong and international legal and regulatory framework
  • Must be able to take ownership and act independently; be responsible, meticulous and able to work under pressure
  • Proactive, confident, creative and a team player
  • Fluency in both written and spoken English, Cantonese and Putonghua essential
  • Good interpersonal and communication skills
