Our client is looking to appoint a Group Head of Compliance to lead governance and compliance across its diverse portfolio of businesses. This is a senior, group-level leadership role, pivotal to strengthening governance frameworks and building IPO-ready compliance systems as the group prepares for public listings and institutional expansion.
Responsibilities
Lead and standardize compliance, corporate secretarial, and governance practices across all group entities
Drive board, committee, and shareholder meeting governance, including resolutions, statutory records, and regulatory filings
Ensure compliance with applicable laws and regulations, including Companies Act, RERA, RBI, and SEBI norms
Track and monitor compliance of investee companies with shareholder and investment agreements
Act as the primary liaison with external regulators and authorities such as ROC, RBI, and SEBI
Shape and execute compliance strategies for IPO readiness and institutional fundraising
Upgrade group-wide compliance policies, systems, controls, and reporting frameworks
Mentor, manage, and develop the internal compliance and secretarial teams
Requirements
20+ years of experience in corporate secretarial, compliance, and governance roles
Qualified Company Secretary (mandatory); LLB is a strong advantage
Proven experience working with listed companies, preferably within promoter-driven conglomerates
Prior IPO exposure or experience leading public listing readiness is highly desirable
Strong leadership presence with a strategic mindset, high emotional intelligence, and a solution-oriented approach
